SOCIO-CULTURAL CENTRE TO BE SETUP
IN GREATER NOIDA |

| A unique socio-cultural centre will be set up in Greater Noida by Caparo Group Limited. Land worth 20 acres has already been approved and allotted to the Group by
the Greater Noida Industrial Development Authority for the purpose. |

| The Centre will provide an opportunity for organisations, business executives, academicians and professionals in the field of business, marketing, public relations, human resource development and general management for an informal interaction. It will encourage cultural, social academic and business related programmes, such as
exhibitions, lectures fairs etc. for exchange of ideas and fostering of human relationship. |

| The facilities that the centre will have an air-conditioned rooms for board meetings, seminars, lectures and conferences with ultra modern facilities like audio-visual equipment, video conferencing, etc. with an
accommodation for 200-250 persons. There will be an air-conditioned library-cum-documentation centre with unique collection of books, publications and journals on varied subjects. |

| Apart from these, there will be a business centre, an auditorium to seat 500 people, hostel facilities with canteens to cater to the professionals and members coming from distant places and sports facilities like tennis, badminton, squash and other indoor games. The centre also proposes to have a health club with facilities like gym, yoga, aerobics, sauna, a year round covered swimming pool, etc. |

| The membership will comprise of life membership, honorary membership, founder membership will be open for
individuals, institutional will be open to firms, limited companies and corporations. The fees for membership will be of two kinds- admission fees and annual fee.
The centre will be affiliated to other similar centre in and outside India. The members will be able to make use of other centres at rates applicable to their members.
The centre will have a Board of Trustees and a Board of Advisors. The Board of Trustees is proposed to have eight members from the promoters, two representatives from the members enrolled, on rotation basis and the Chairman, Greater Noida Industrial Development Authority. The Board of Advisors will have members from the promoters, leading industrialists, leading academicians and other distinguished people. It is proposed that there will be regular meetings of these boards. |

| Greater Noida is considered one of the most preferred destinations by
foreign investors. The Authority has already attracted Rs 7500 crore worth investment. Its single table clearances for finance, pollution, land allotment, trade tax exemption, etc. coupled with competitive land rates, attractive production incentives and tax incentives make Greater Noida Industrial Development Authority an attractive location for investment. |
